I have examined and attentively considered the papers submitted to me in the matter of Thorn Livingston & Tracy & am of opinion that the facts stated in them are sufficient if satisfactorily proved to support an Indictment agt. them for a conspiracy to cheat the Merchants bank. If a complaint is intended to be made you had better give the papers to Mr Van Wyck to whom also you may ^also^ give this note.
